Terms of Use

FrankPass ("we", "us") is a drafting tool for mining suppliers. You describe your company; FrankPass generates draft safety programs, policies, and prequalification questionnaire answers, and tracks the official records buyers commonly request. By using FrankPass you agree to these terms.

FrankPass is not a law firm, safety consultancy, insurance broker, accounting firm, or training provider, and your use of it does not create any advisor-client relationship. Generated documents are starting points personalized to what you tell us; they are not legal, safety, regulatory, insurance, tax, or other professional advice. Where professional judgment is required, consult a qualified professional.

Documents are generated with artificial intelligence. They can contain errors or omissions. Facts we cannot know are marked as placeholders rather than invented; you must complete them truthfully. Before any document is used, submitted, or signed, you must review it, adapt it to your actual operations, and approve it.

You are solely responsible for the accuracy and completeness of anything you submit to any prequalification network, mine operator, or government authority, and for complying with the laws that apply to your work. FrankPass does not guarantee that any document or submission will be accepted by any network, operator, or regulator.

You are responsible for your account and for keeping your sign-in details secure. The information you enter and the documents generated for you remain yours; you grant us permission to store and process them to provide the service. Do not enter information you have no right to share, and do not use FrankPass to produce false or misleading records.

FrankPass is free to use. Where voluntary contributions are offered, they are optional, are not payment for services, do not unlock features, and do not change these terms. Contributing nothing changes nothing.

Names and logos of mine operators, prequalification networks, and other third parties are trademarks of their respective owners. They appear in FrankPass to identify the buyers, systems, and portals suppliers commonly deal with. Their appearance does not imply any affiliation with, sponsorship of, or endorsement by those companies. Links to third-party sites are provided for convenience; we are not responsible for their content or requirements, which change without notice.

Do not misuse the service: no unlawful use, no attempts to probe, break, or overload it, no automated bulk generation, no reselling generated output as a service without our written agreement, and no use that misrepresents your identity, qualifications, or safety record. We may suspend accounts that breach these terms.

FrankPass is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that documents will satisfy the requirements of any network, operator, or regulator, or that the service will be uninterrupted, secure, or error free.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost contracts, business interruption, or regulatory penalties, arising from your use of FrankPass or of documents it generates. Our total liability for all claims combined is limited to CAD $100 or the amount you paid us in the twelve months before the claim, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You will indemnify and hold us harmless from claims, damages, and expenses arising from documents you finalize or submit, records you certify, or your breach of these terms.

We may change or discontinue features at any time, and we may update these terms. If we make material changes, we will post the updated terms here with a new date. Continuing to use FrankPass after a change means you accept the updated terms.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Disputes will be resolved in the courts of Ontario, Canada.
